1. Scope

(1) These Terms and Conditions ("Terms") govern every contract entered into via the online shop at noryx.com between the operator of noryx.com (hereinafter "NORYX", "we", "us") and the buyer (hereinafter "you", "Customer"). Our catalogue covers items in the home and garden categories.

(2) A consumer under these Terms is any natural person concluding a legal transaction for purposes that cannot predominantly be attributed to a commercial or self-employed professional activity. A business customer is any natural or legal person, or partnership with legal capacity, acting in a commercial or self-employed professional capacity when entering into the agreement.

(3) Conflicting, divergent or supplementary terms submitted by the Customer shall only form part of the contract where their applicability has been expressly confirmed by us in writing.

2. Contracting Party and Contact

3. Conclusion of Contract

(1) The display of our home and garden items in the online shop does not constitute a legally binding offer; it serves solely as a non-binding online catalogue.

(2) By clicking the "Buy" / "Place order" / "Pay now" button, you submit a binding offer to acquire the items contained in your shopping basket.

(3) Acknowledgement of receipt and acceptance of your order occur simultaneously — you will receive both immediately after submission by means of an automatically generated email. The despatch of this confirmation email renders the sale contract legally binding.

(4) We retain the contract text and forward it to you alongside these Terms by email. The Terms currently in force may also be consulted at any time at noryx.com/terms-of-service.

(5) Contracts are concluded in the English language.

4. Prices and Shipping Costs

(1) All prices shown on the website include the applicable statutory Value Added Tax. Any additional shipping and delivery charges are displayed separately during the checkout process.

(2) For shipments to countries outside the European Union and the United Kingdom, additional customs duties, taxes and other charges may apply; these are payable by the Customer.

5. Payment Terms

(1) The following payment methods are available: credit and debit card (Visa, Mastercard, American Express), PayPal, Klarna, Apple Pay, Google Pay and bank transfer. We reserve the right to exclude individual payment methods in specific cases.

(2) The purchase price becomes due upon conclusion of the contract.

(3) Where payment is made by credit card or PayPal, your account will be charged immediately upon completion of the order.

6. Delivery

(1) Goods are dispatched to the delivery address supplied by the Customer. Estimated delivery times are clearly indicated on the relevant product page as well as during checkout.

(2) Should delivery prove impossible following three attempts, we are entitled to withdraw from the contract. Any sums already paid will be refunded to you without delay.

(3) Where delays arise as a result of force majeure, the delivery period shall be extended accordingly. We will notify you promptly should this occur.

7. Retention of Title

All dispatched goods remain our property until the full purchase price has been received.

8. Right of Cancellation for Consumers

Consumers benefit from a statutory right of cancellation. Full cancellation details together with the model cancellation form are set out on our Cancellation Policy page.

9. Warranty and Liability for Defects

(1) Statutory provisions on liability for defects apply in full. For consumers, the limitation period for claims arising from defects is two years from the date of delivery.

(2) For second-hand goods, the limitation period is reduced to one year from the delivery date.

(3) Should any delivered item prove defective, please get in touch with us at contact@noryx.com.

10. Liability

(1) We accept unlimited liability in cases of intent and gross negligence, as well as within the framework of consumer protection legislation.

(2) In cases of simple negligence, liability is limited to breaches of a material contractual obligation (a cardinal obligation) whose fulfilment is essential to the proper performance of the contract and upon which the Customer may reasonably rely. In such instances, liability is capped at foreseeable damages typical of the contract.

(3) The foregoing does not affect our liability for injury to life, body or health.

11. Dispute Resolution

(1) The European Commission operates an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

(2) We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

12. Applicable Law and Jurisdiction

(1) The contractual relationship is governed exclusively by the laws of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods. With respect to consumers, this choice of law applies only to the extent that mandatory provisions of the law of the country of the consumer's habitual residence are not thereby disapplied.

(2) Where the Customer is a merchant, a legal person under public law or a special fund under public law, the place of our registered office shall be the sole place of jurisdiction for all disputes arising from this contractual relationship.

13. Final Provisions

Should any individual provision of these Terms be or become wholly or partially invalid, the validity of the remaining provisions shall be unaffected. Any invalid provision shall be replaced by the applicable statutory rule.
